1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Merchant," or "you") and Technovicinity Limited, doing business as BizAt ("Company," "we," "our," or "us"), governing your access to and use of the BizAt platform, including our website at bizat.ai, APIs, chatbot services, analytics dashboard, and all related tools and features (collectively, the "Services").

By accessing or using the Services, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into these Terms; (c) if registering on behalf of an entity, you have the authority to bind that entity; and (d) you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you are expressly prohibited from accessing or using the Services.

2. Description of Services

BizAt provides an artificial intelligence-powered business automation platform. Our Services include, but are not limited to:

• AI-powered chatbot for automated customer conversations across messaging platforms
• Lead collection, qualification, and management tools
• Order processing and transaction facilitation
• Social media post scheduling, publishing, and analytics
• Product catalog scanning and management
• Cart abandonment recovery automation
• Business intelligence, analytics, and growth recommendations
• API access for custom integrations

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to you.

3. Account Registration and Security

To access certain features of the Services, you must create an account by providing accurate, complete, and current information. You are solely responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account, whether authorized or unauthorized
• Promptly notifying us of any unauthorized access or security breach
• Ensuring that your account information remains accurate and up-to-date

We reserve the right to suspend or terminate accounts that provide false, inaccurate, or incomplete information, or accounts that have been inactive for an extended period.

4. Subscription Plans and Payment

4.1 Plans and Fees

Our Services are offered on a subscription basis with multiple tiers (Free, Starter, Growth, Business, Enterprise). Fees for each plan are published on our Pricing page. We reserve the right to modify our pricing with 30 days' advance notice. Price changes will not affect your current billing cycle.

4.2 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis as selected during registration. Payments are processed through our PCI-compliant payment processors. You authorize us to charge your payment method for all fees incurred.

4.3 Free Trials

We may offer free trials of our paid plans. At the end of the trial period, your payment method will be charged unless you cancel before the trial expires. Limit one free trial per customer.

4.4 Refunds

Subscription fees are non-refundable except as required by applicable law. In the event of a billing error, contact us within 30 days for a correction.

5. Acceptable Use Policy

You agree not to use the Services for any unlawful purpose or in violation of these Terms. Prohibited activities include:

• Violating any applicable local, national, or international law or regulation
• Infringing upon intellectual property rights of others
• Transmitting spam, unsolicited messages, malware, or harmful code
• Engaging in fraudulent, deceptive, or misleading practices
• Harassing, threatening, or discriminating against individuals
• Attempting to reverse engineer, decompile, or extract our source code
• Using the Services to develop a competing product or service
• Exceeding rate limits or otherwise disrupting our infrastructure
• Impersonating another person or entity

We reserve the right to investigate violations and take appropriate action, including account suspension or termination.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, logos, and trademarks, are owned by Technovicinity Limited and protected by copyright, trademark, patent, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited license to use the Services.

6.2 Your Content

You retain all ownership rights in the data, content, and materials you provide through the Services ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process Your Content solely for the purpose of providing and improving the Services.

6.3 Feedback

Any suggestions, ideas, or feedback you provide regarding the Services may be used by us without restriction or compensation.

7. Third-Party Integrations

The Services integrate with third-party platforms including but not limited to Meta (Facebook, Instagram, WhatsApp), Shopify, WooCommerce, and payment gateways. Your use of these integrations is subject to the respective third-party terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.

8. Disclaimers and Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TECHNOVICINITY LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Technovicinity Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from: (a) your violation of these Terms; (b) your use of the Services; (c) Your Content; or (d) your violation of any third-party rights.

10. Termination

You may terminate your account at any time through your dashboard settings. We may suspend or terminate your account: (a) for violation of these Terms; (b) for non-payment of fees; (c) if required by law; or (d) for extended inactivity. Upon termination, your right to access the Services ceases immediately. We will retain your data as described in our Privacy Policy.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Bangladesh. Any disputes arising from these Terms shall be resolved through binding arbitration in Dhaka, Bangladesh, in accordance with the Bangladesh Arbitration Act. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Your continued use after such modifications constitutes acceptance. If you do not agree, you must stop using the Services.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not constitute a waiver.
• Assignment: You may not assign your rights; we may assign ours at any time.
• Force Majeure: We are not liable for delays beyond our reasonable control.
